Welcome to The Aden Forecast and Gold Charts R Us, two financial information services providing insight into the U.S. and foreign stock, currencies, bond and precious metals markets, which will allow you to better assess and understand market trends.  The service (“Service”) provided on our website (“Site”) is provided by Aden Research, S.A. a Costa Rica corporation.

These terms of use (“Terms of Use”) are a legally binding agreement made between you (“You,””Your,” or “Yourself” and Aden Research (“We,””Us or “Our”, and set forth the applicable terms and conditions governing the use of our service, so please review them carefully. By creating a service account with us, you also accept and agree to be subject to and abide by our privacy policy, which is set out below (“Privacy Policy”) and which is incorporated herein by reference.

We may choose to update these Terms and Conditions at any time by posting an update to this page. We encourage you to review these Terms and Conditions periodically, as your continued use of the service will mean you accept those changes, whether you have read them or not.

Description of Service

The Service publishes The Aden Forecast, a financial newsletter every month and Gold Charts R Us, a weekly trading service covering the United States stock markets, foreign stock markets, U.S. and foreign bond markets, currencies and precious metals, and general economic issues, and includes proprietary charts which provide a useful guidance to assessing market trends.

Registration

As a condition to using the service, you are required to create an account by registering with us directly. In that registration process, we require that you provide certain information, such as your full name, mailing and email addresses.

In registering for the service, you represent that you are of legal age to form a binding contract and are not a person barred from receiving products or services under the laws of Costa Rica or other applicable jurisdictions. The registration information you provide must be accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.

You may not use the name of another person or entity that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity without receiving appropriate authorization.

Pricing, Billing, Cancellation, and Refunds

Our Service is available only on a subscription basis. We may add new services for additional fees, or amend subscription fees and charges for existing paid services in the future. Any pricing changes or new payment terms shall become effective in the billing cycle following notice of such change to you as provided in these Terms and Conditions.

Aden Research accepts credit cards and other payment mechanisms and will automatically charge your credit card or other payment mechanism quarterly or annually depending upon which payment option you select. If any subscription fee is not paid in a timely manner, or Aden Research is unable to process your transaction using the credit card or other payment information provided, Aden Research reserves the right to suspend or revoke access to your account. All subscription fees and charges are partially refundable for unused part of the subscription.  Aden Research will automatically bill you according to your subscription choice upon completion and submission of the subscription form.

We may offer a special subscription from time to time. If you do not cancel your subscription within the free offer period, we will charge the credit card or other payment method you provided during the sign-up process.

Aden Research will give you at least one month (30 days) advance notice of any change to subscription fees by email. Unless you notify us before the end of the applicable subscription period that you want to cancel, or if you have opted for auto renew, your subscription will automatically renew and you authorize us to collect the then-applicable annual or quarterly subscription fee (as well as any taxes) using any credit card or other payment mechanism we have on record for you.

Aden Research reserves the right to add, change, or delete products and services at any time. Subscription fees do not constitute an investment management fee or fee for advice.

Confidentiality

You agree not to use any information related to our newsletters or charts (“Confidential Information”) disclosed to you for your own use or for any purpose other than as contemplated herein. You shall not disclose or permit disclosure of any Confidential Information to third parties.

You agree to take all reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information of Aden Research in order to prevent it from falling into the public domain. Notwithstanding the above, You shall not have liability to us with regard to any disclosure of Confidential Information which you can prove: (a) was in the public domain at the time it was disclosed by us or has entered the public domain through no fault of yours; (b) was known to you, without restriction, at the time of disclosure, as demonstrated by files in existence at the time of disclosure; (c) is disclosed with our prior written approval; (d) becomes known to you, without restriction, from a source other than Aden Research without breach of these Terms and Conditions by you and otherwise not in violation of our rights.

Third Party Sites

Links to third party websites on our Site are not endorsements or referrals of any products, services or information contained in such websites.  Information provided and opinions expressed by others do not necessarily represent our opinions. We expressly disclaim any and all liability resulting from reliance on such information or opinions.  Some products, manufacturers and service providers may be mentioned in or on the Service.  Mention of these products, manufacturers or service providers does not constitute an endorsement by us. We shall have the right, at our sole discretion, to remove links and images attached to such links, if such links are flagged by users as offensive.

Certain data accessible through our Site or newsletters are the intellectual property of the relevant news and information services provider or third parties that provide such data to the relevant service provider, or us. Such data is protected by copyright and other intellectual property laws and all ownership rights remain with the information service provider or the third party or us, as the case may be.

Use Restrictions

You represent and warrant that you will not:

• Use any data or information obtained from the Service for commercial purposes.
• Store any data or information obtained from the Service for the purposes of creating a historical database or historical data product.
• Use any of the data or information obtained from the Service in connection with the issuance, trading, marketing or promotion of investment products (e.g., derivatives, structured products, investment funds, investment portfolios, etc. where the price, return and/or performance of the investment product is based on or related to the data) without a separate written agreement with Us.
• Copy, distribute or redistribute any data or information obtained from the Service,including by caching, framing or similar means or sell, resell, re-transmit or otherwise make such data available in any manner to any third party.
• Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, “data mine”, or in any way reproduce or circumvent the presentation of the Service.
• Interfere with or disrupt the Service, or the servers or networks connected to the Service.
• “Frame” or “mirror” any part of the Service, without our prior written authorization or use meta tags or code or other devices containing any reference to Us or the Service in order to direct any person to any other websites for any purpose.
• Modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Service, or cause others to do so.
• Upload, post, email, transmit or otherwise make available any material that contains software viruses, trojan horses, worms, time bombs, or any other computer code, files or programs designed to interrupt, destroy detrimentally interfere with or limit the functionality of any computer software or hardware or telecommunications equipment or intercept or expropriate any system, data or personal information.

We reserve the right, but are not obligated to, investigate and terminate your participation in the Service if You have misused the Service, or violated any of the restrictions above.

Term and Termination

These Terms and Conditions are effective until terminated. We may terminate these Terms immediately if you breach any provision of these Terms and Conditions.

Intellectual Property Rights

The text, graphics, design, interviews, and other content available through this Site, as well as the arrangement, are the property of Aden Research and are protected by Costa Rica and international copyright and other intellectual property laws. You may not use, modify, remove or alter any trademark, trade names, service mark, product names, logo, copyright or other proprietary notices, legends, symbols or labels featured on the Service.  You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Service (“Submissions”), provided by you to us are non-confidential and shall become the sole property of us. We shall own exclusive rights, including all Intellectual Property Rights, in these Submissions, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

You may not modify, copy, distribute, transmit, display, reproduce, re-publish, circulate, license, transfer, create derivative works from, or sell the content from this Site to any entity or person without the express written consent of Aden Research. E-mail communications sent from us to you are designed to make your experience more efficient and enjoyable. You specifically agree to accept and consent to receiving e-mail communications initiated from us, which include, without limitation: notification e-mails informing you about potential available products or services and e-mails informing you of promotions we run and emails informing you of new and existing features we provide.

Surveys and Feedback

We may periodically present you with surveys or solicit your opinion about the Service. Assignment

These Terms are not assignable, transferable or sub-licensable by you except with our prior written consent.  We may transfer, assign or delegate these Terms and their rights and obligations without consent.

Governing Law

By using the Service, You agree that these Terms shall be governed by and construed in accordance with the laws of Costa Rica.

Arbitration Agreement and Waiver of Class Remedies

All disputes arising under or relating to these Terms and Conditions shall be resolved exclusively through arbitration in Costa Rica, before a single arbitrator.  The arbitrator, and not any federal, state or local court or agency, shall have the exclusive authority to resolve any dispute arising under or relating to the interpretation, applicability, enforceability, or formation of these Terms.

Entire Agreement

These Terms and Conditions supersede all prior and contemporaneous agreements, representations and warranties and understandings, whether oral or written, with respect to the Service.  We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If the alterations constitute a material change to these Terms, We will notify you by posting an announcement on the Service. However, it is your responsibility to read and become familiar with any modifications that we may make. Using the Service following notification of a material change to these Terms shall constitute your acceptance of the Terms and Conditions as modified.

Los términos de uso de nuestros productos y servicios son un acuerdo legal entre las dos partes, usted como suscriptor y Aden Research. En ellos están estipulados los términos de uso de nuestros servicios, así que por favor revíselos con cuidado. Descripción del servicio

Este servicio publica una revista financiera una vez al mes, cubriendo los mercados de acciones en Estados Unidos y otros países, bonos, monedas y metales preciosos, así como problemas económicos mundiales. Esta revista incluye gráficos de nuestra propiedad que le servirán para entender mejor las tendencias de los mercados.

Registro

Como condición para registrarse para obtener el servicio, requerimos que usted cree una cuenta con nosotros directamente. En este proceso de registro necesitamos cierta información de su parte como su nombre completo y direcciones de correo y correo electrónico.

Registrándose en este servicio, se entiende que usted es mayor de edad para hacer un contrato con nosotros y que no existe prohibición alguna para recibir nuestros productos y servicios basados en las leyes de Costa Rica y otras jurisdicciones que se apliquen. La información que usted provee debe ser veraz, completa y actualizada en todo momento. La falta de esto constituirá en el rompimiento de este contrato de términos y condiciones y por ende el cierre de su cuenta con nosotros.

Usted no deberá usar otro nombre o entidad que no esté legalmente constituida para el uso de este servicio, y que no cuente con su autorización.

Precios, pagos, cancelaciones y devoluciones

Nuestro servicio sólo está disponible en una base de suscripción. Podemos agregar nuevos servicios con tarifas adicionales o modificar las tasas y cargos de suscripción de servicios de pago existentes en el futuro. Cualquier cambio de precios o nuevos términos de pago se hará efectivo en el ciclo de facturación siguiente con previo aviso de dicho cambio a usted conforme a lo dispuesto en estas Condiciones de Uso.

Aden Research acepta tarjetas de crédito y otros mecanismos de pago y se cargará automáticamente su tarjeta de crédito u otro mecanismo de pago trimestral o anual, dependiendo de la opción de pago que seleccione. Si alguna cuota de suscripción no se paga en tiempo y forma, o Aden Research es incapaz de procesar su transacción con la tarjeta de crédito u otra información de pago proporcionado, nuestra compañía se reserva el derecho de suspender o revocar el acceso a su cuenta. Todos los cargos de suscripción son reembolsables y habrá reembolsos o créditos por el período no utilizado de la suscripción. Aden Research automáticamente factura según su opción de suscripción al completar y enviar el formulario de suscripción.

Podemos ofrecer una suscripción de prueba gratuita de vez en cuando. Si usted no cancela su suscripción dentro del período de oferta de prueba gratuita, vamos a cargar la tarjeta de crédito u otro método de pago que usted proporcionó durante el proceso de registro.

Aden Research le dará a usted al menos un mes (30 días) de anticipación de cualquier cambio en las cuotas de suscripción por correo electrónico. A menos que usted nos notifique a nosotros antes de que finalice el período de suscripción aplicable que usted desea cancelar, o si usted ha optado por la renovación automática, su suscripción se renovará automáticamente y usted nos autoriza a cobrar la cuota de suscripción trimestral o anual, entonces aplicable (así como los impuestos), utilizando cualquier tarjeta de crédito u otro mecanismo de pago que tengamos en nuestra base de datos de usted.

Aden Research se reserva el derecho de agregar, cambiar o eliminar productos y servicios en cualquier momento. Las cuotas de suscripción no constituyen una comisión de gestión de inversiones o cuota para consejo personal sobre inversiones.

Confidencialidad

Usted se compromete a no utilizar cualquier información relacionada con nuestras revistas o gráficos (“Información Confidencial”) que sea revelada solo para usted y su propio uso o para cualquier propósito que no sea como se contempla en el presente documento. Usted no podrá divulgar o permitir la divulgación de cualquier información confidencial a terceros.

Usted se compromete a adoptar todas las medidas razonables para proteger el secreto y evitar la divulgación o uso de “Información Confidencial” propiedad de Aden Research con el fin de evitar que sea de dominio público.

No obstante lo anterior, usted no deberá tener responsabilidad frente a nosotros con respecto a cualquier divulgación de información confidencial que permite demostrar:

(A) era de dominio público en el momento en que fue revelada por nosotros o ha entrado en el dominio público sin culpa suya;

(B) era conocido por usted, sin restricciones, en el momento de la divulgación, como lo demuestran los archivos existentes en el momento de la divulgación;

(C) se da a conocer con nuestra autorización previa por escrito;

(D) se da a conocer a usted, sin restricciones, a partir de una fuente que no sea Aden Research, sin incumplimiento de estas condiciones de uso por usted y por lo demás no en violación de nuestros derechos.

• Copiar, distribuir o redistribuir cualquier dato o información obtenidos del servicio, incluyendo por copia de caché o medios similares o vender, revender, retransmitir o poner esos datos a disposición de cualquier manera a terceros.

• Expresar o implicar que cualquier declaración que usted realice se avalada por nosotros, sin nuestro consentimiento previo por escrito.

• Usar cualquier robot, araña, sitio de aplicación de búsqueda / recuperación de datos o cualquier otro dispositivo o proceso para recuperar manual o automática, índice, “mina de datos”, o en cualquier forma reproducir o sortear la presentación del servicio.

• Interferir o interrumpir el servicio o los servidores o redes conectadas al Servicio.

• Hacer “marco” o “espejo” de cualquier parte del servicio, sin nuestra autorización previa por escrito o utilizar las etiquetas meta o código u otros dispositivos que contengan cualquier referencia a nosotros o el servicio con el fin de dirigir a cualquier persona a otro sitio web para cualquier propósito.

• Modificar, adaptar, traducir, vender, realizar ingeniería inversa, descifrar, descompilar o desensamblar cualquier parte del servicio, o hacer que otros lo hagan.

• Cargar, publicar, enviar, transmitir o hacer disponible de otra manera cualquier material que contenga virus, caballos de Troya, gusanos, o cualquier otro código de computadora, archivos o programas diseñados para interrumpir, destruir perjudicialmente interferir o límite la funcionalidad de cualquier software o hardware o equipo de telecomunicaciones o interceptar o expropiar cualquier sistema, datos o información personal.

Nos reservamos el derecho, pero no estamos obligados a, investigar y poner fin a su participación en el servicio si usted tiene mal uso del servicio, o violado alguna de las restricciones anteriores.

SIN PERJUICIO DE LO ANTERIOR, EN NINGÚN CASO, ADEN RESEARCH ES RESPONSABLE POR LA PÉRDIDA DE SUS DATOS, INFORMACIÓN, EL CONTENIDO O CUALQUIER OTRA INFORMACIÓN RELACIONADA CON EL USO DEL SERVICIO.

Usted acepta indemnizar y defender a Aden Research, sus funcionarios, directores, empleados   proveedores de información de y contra cualquier y todo reclamo, daños, pérdidas, costos (incluyendo honorarios razonables de abogados) u otros gastos que surjan directa o indirectamente de:

(a) su incumplimiento de este acuerdo, incluyendo cualquier violación de las restricciones de uso anteriores;

(b) sus actividades en relación con el servicio o de cualquier producto o servicio de Aden Research.

Duración y Terminación

Estos Términos y Condiciones de Uso son efectivos hasta su terminación. Podemos terminar estos Términos de uso inmediatamente si incumple cualquier disposición de estas Condiciones de Uso.

Derechos de propiedad intelectual

El texto, gráficos, diseño, entrevistas y otros contenidos disponibles a través de este sitio, así como la disposición, son propiedad de Aden Research y están protegidos por Costa Rica y los derechos de autor internacionales y otras leyes de propiedad intelectual. Usted no puede usar, modificar, eliminar o alterar ninguna marca, nombres comerciales, marcas de servicio, nombres de productos, logotipo, derechos de autor u otros avisos de propiedad, leyendas, símbolos o etiquetas que aparecen en el servicio.

Usted reconoce y acepta que cualquier pregunta, comentario, sugerencia, idea o otra información sobre el servicio que usted nos envié a nosotros no son confidenciales y pasarán a ser propiedad exclusiva de nosotros. Ley que rige

Al utilizar el servicio, usted acepta que estos términos y condiciones se regirán e interpretarán de acuerdo con las leyes de la República de Costa Rica.

Acuerdo de arbitraje

Todas las controversias derivadas de o relacionadas con estas condiciones de uso se resolverán exclusivamente mediante arbitraje en Costa Rica ante un solo árbitro. El árbitro, y no hay, un tribunal estatal o local o agencia federal, tendrán la facultad exclusiva para resolver cualquier disputa que surja de o en relación con la interpretación, aplicación, ejecución, o la formación de estas  Condiciones de uso.

Acuerdo completo

Estas Condiciones de Uso reemplazan todos los acuerdos anteriores, representaciones y garantías y entendimientos, ya sea oral o escrita, con respecto al servicio, y cualquier contenido. Nos reservamos el derecho, a nuestra sola discreción, de modificar o sustituir estas Condiciones de Uso en cualquier momento. Si las modificaciones constituyen un cambio importante en las presentes Condiciones, le notificaremos mediante la publicación de un anuncio en el Servicio.
